Public Offer Agreement

This public offer (the “Offer”, the “Agreement”) is the official proposal of Sole proprietor Oleh Kreminskyi (the “Seller”) to conclude a distance sale agreement through the NSP online shop at https://biotonika.com.ua/uk/nsp (the “Site”). The Seller is an independent partner of Nature’s Sunshine Products and does not act on the company’s behalf.

1. General

1.1. Under Articles 633 and 641 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”, this Offer is public and addressed to any natural person.

1.2. The Offer is accepted when the Buyer places an order on the Site and pays for it (for cash on delivery — receives the goods) on the terms, within the time and at the prices shown on the Site at the moment of ordering.

2. Terms

• Goods — Nature’s Sunshine Products dietary supplements and cosmetics listed in the Site catalogue. A dietary supplement is not a medicine.
• Online shop — the section of the Site where the Goods are presented and sold by an electronic transaction.
• Buyer — a natural person with legal capacity who has accepted the Offer.
• Order — the Goods chosen by the Buyer and submitted through the order form on the Site.

3. Subject

3.1. The Seller transfers the Goods to the Buyer, and the Buyer accepts and pays for them on the terms of this Agreement, which covers the choice of Goods, placing the order, its payment, processing and delivery.

4. Ordering

4.1. The Buyer orders any Goods in stock through the Site form, giving a name, phone number, delivery method and address/branch, and a payment method; an e-mail is optional (required for bank transfer).

4.2. After ordering, the manager confirms availability at the warehouse. If an item is out of stock, the Seller informs the Buyer by phone or e-mail; the Buyer may replace it, drop it or cancel the order.

4.3. Prices on the Site are in hryvnias and match NSP retail prices. The Seller may change prices; the price of a placed order does not change.

5. Payment

5.1. Cash on delivery — cash or card at a Nova Poshta branch or parcel locker on receipt. The money-transfer fee is charged at the carrier’s rates.

5.2. Card online (Visa, Mastercard, Apple Pay, Google Pay) — on the secure NovaPay payment page at checkout. Card data is never passed to the Seller.

5.3. Bank transfer — the invoice is e-mailed to the Buyer; the order ships once the payment arrives.

5.4. A fiscal receipt is issued for every order and sent to the Buyer or enclosed in the parcel.

5.5. If the payment does not arrive or the Buyer refuses the parcel, the Seller may cancel the order.

6. Delivery

6.1. Delivery across Ukraine by Nova Poshta — to a branch, a parcel locker or by courier to the address given at checkout. Orders placed before 14:00 on a working day ship the same day, the rest on the next working day; estimated delivery 1–3 working days.

6.2. Delivery is charged at the carrier’s rates and paid by the Buyer on receipt. Orders from UAH 2,500 are delivered at the Seller’s expense.

6.3. Title and risk pass to the Buyer on receipt. The Buyer should inspect the parcel on receipt and record any packaging damage with the carrier’s representative.

7. Returns and exchanges

7.1. Returns and exchanges follow the Law of Ukraine “On Consumer Protection”.

7.2. Dietary supplements and cosmetics of proper quality are not subject to exchange or return (list approved by Resolution No. 172 of the Cabinet of Ministers of Ukraine of 19.03.1994).

7.3. If the Goods arrive damaged, with a manufacturing defect or the wrong item was sent, the Buyer notifies the Seller within 14 days of receipt (by phone or e-mail) with the order number and photos. The Seller replaces the Goods or refunds the money; return shipping of such Goods is at the Seller’s expense.

7.4. Refunds go back the same way the order was paid, within 7 days of the Goods reaching the Seller’s warehouse.

7.5. A cash-on-delivery parcel may be inspected at the branch and refused before payment.

8. Rights and obligations

8.1. The Seller delivers Goods of proper quality on time and may suspend the Agreement if the Buyer breaches it.

8.2. The Buyer provides accurate delivery details, pays for and collects the order on time, and may demand performance of the Agreement.

9. Liability

9.1. The parties are liable for non-performance under the laws of Ukraine.

9.2. The Seller is not liable for packaging changed by the manufacturer, slight colour differences on screens, the accuracy of the Buyer’s data, carrier delays, or the consequences of using the Goods without consulting a doctor.

9.3. The parties are released from liability in force-majeure events. Disputes are settled by negotiation and, failing that, as provided by the laws of Ukraine.

10. Personal data

10.1. By placing an order the Buyer consents to the processing of personal data for the performance of this Agreement under the Law of Ukraine “On Personal Data Protection” and the Privacy Policy.

11. Other terms

11.1. The Seller may amend the Offer by publishing a new edition on the Site; the edition in force at the moment of ordering applies to that order.

11.2. The Agreement is concluded upon acceptance under Article 11 of the Law of Ukraine “On Electronic Commerce” and remains in force until fully performed. Before delivery it may be terminated by mutual consent with a refund.

11.3. Browsing the catalogue and placing an order on the Site are free of charge.
